AgencyU AI — Terms of Service

Effective date: 2026-06-01

By creating an AgencyU AI account ("Account") and accessing the platform at agencyu-app.vercel.app or any successor URL ("Platform"), you ("Member") agree to these Terms of Service ("Terms").

1. Eligibility

You must be at least 18 years old and authorized to enter into binding contracts. If you sign up on behalf of an agency or business, you represent that you have authority to bind that organization.

2. Account & Workspace

You're responsible for safeguarding your credentials and all activity under your Account, including activity by team members you invite. Notify us promptly of any unauthorized access.

3. Acceptable Use

You will not:

  • Reverse engineer, decompile, or attempt to extract the source code of the Platform.
  • Use the Platform to generate content that is defamatory, harassing, infringing, fraudulent, or unlawful.
  • Send spam, unsolicited marketing, or automated abuse from any outbound feature.
  • Resell or relicense AgencyU AI to third parties without a written reseller agreement.
  • Scrape, rate-limit-evade, or otherwise exceed reasonable API quotas.

4. Subscription, Tokens, and Billing

  • Subscription plans and one-off token packs are described in /billing.
  • Usage in excess of your allowance may be blocked or rate-limited.
  • Refunds for token packs are issued at our discretion if the product was substantially defective; subscription periods are non-refundable.
  • We may change pricing on 30 days' notice. Existing renewal pricing is honored through the current billing period.

5. Member Content & Data

You retain ownership of any content you upload or input ("Member Content"). You grant AgencyU AI a non-exclusive license to process Member Content to provide the Platform features — including transmitting it to AI providers (currently Anthropic via Vercel AI Gateway) for the purpose of generating responses.

We may store anonymized usage telemetry to improve the Platform. We do not sell Member Content.

6. AI-Generated Output

Output from AI Employees and other generators is produced by large language models. See the "AI Output Disclaimer" you accepted at signup. In short: outputs are not guaranteed accurate, are not professional advice (legal, tax, medical, or financial), and you remain responsible for what you act on.

7. Educational Purpose

The Platform's coaching content, frameworks, and AI suggestions are provided for educational and operational purposes. See the "Educational Purpose Disclaimer" you accepted at signup.

8. Third-Party Integrations

When you connect third-party services (Stripe, Slack, Notion, Meta, Google, etc.) you authorize AgencyU AI to access the scopes you grant. You're bound by those providers' terms. We do not control third-party services and are not liable for their failures.

9. Termination

You may cancel any time from /billing. We may suspend or terminate an Account for material violation of these Terms, abuse, non-payment, or legal compulsion. On termination, we may delete your data after a reasonable retention window.

10. Disclaimer of Warranties

The Platform is provided "as-is". To the maximum extent permitted by law, we disclaim all warranties — express, implied, or statutory — including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, AgencyU AI's aggregate liability for any claim arising from your use of the Platform is limited to the amounts you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

12. Governing Law

These Terms are governed by the laws of the United States and the state where the Platform operator is incorporated, without regard to conflict-of-laws principles. Disputes will be resolved in the state and federal courts of that jurisdiction, except where prohibited by local law.

13. Changes

We may update these Terms. When we do, we'll bump the version string and require you to re-accept before continued use.
